The Serial Acquirer’s Playbook
Seven Education (formerly Sdui Group) is building the operating system for European schools, one acquisition at a time. For its takeover of DigiOnline, the Cologne company behind the WebWeaver platform, PHILIPPS & BYRNE ran the buy-side AI & Tech Due Diligence.
- Sector: EdTech
- Target Geo: Cologne, Germany · DACH
- Client Geo: Koblenz, Germany · DACH
- Deal: Acquisition
- Assessment: 2025
The Deal
Sdui Group — a long-time client of ours, backed by Bain Capital’s Tech Opportunities fund — is consolidating Europe’s fragmented school-software market. DigiOnline brought something valuable and rare: WebWeaver, a learning and school-management platform with a customer base built over two decades in German education.
In serial M&A, the question is rarely just “is the technology sound?” It is “what will it cost to make this platform part of ours — and what breaks if we get it wrong?” That is the DD we ran for Seven Education.
Assessment Angles
- Platform & architecture
- Integration scenarios
- Team & knowledge concentration
- Security & compliance
- Technical debt & modernization
- Product overlap & roadmap fit
What the Target Takes Away
Being acquired by a young consolidator is a delicate moment for a company that has served schools for over twenty years. We treat targets as participants, not subjects: the DigiOnline team got a transparent process, engineering-level conversations instead of interrogations, and a findings base both sides could plan the integration on.
